1. Agreement to terms

By accessing or using the receptionists.io website and platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of service

receptionists provides an AI-powered receptionist platform that answers phone calls, books appointments, qualifies leads, and performs other call-handling tasks on behalf of your business. The Service includes the web dashboard, API, voice agent, and any related tools or documentation.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you confirm that the information you provide is accurate and complete.

4. Account responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You agree to notify us immediately if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit harmful, fraudulent, deceptive, or misleading content.
  • Send unsolicited calls, spam, or messages in violation of telemarketing laws (including the TCPA, TSR, or equivalent regulations in your jurisdiction).
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to build a competing product or service.
  • Misrepresent the AI as a human when legally required to disclose automated calling.

6. Your content and data

You retain ownership of all content, data, and configurations you provide through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely to operate and improve the Service.

  • You are responsible for ensuring that your use of the Service complies with all laws applicable to Your Content, including data protection and privacy laws.
  • Call recordings and transcripts belong to you. We process them on your behalf and do not sell them to third parties.
  • If your business operates in a sector with specific compliance requirements (for example, healthcare), you are responsible for configuring the Service to meet those requirements.

7. Billing and payments

  • Paid plans are billed in advance on a monthly or annual basis, depending on the plan you choose.
  • All fees are non-refundable except where required by law or as stated in a specific promotion.
  • Usage beyond your plan's included minutes is billed at the per-minute rate listed on your plan.
  • We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
  • If payment fails, we may suspend your account after providing reasonable notice and an opportunity to update your payment method.

8. Intellectual property

The Service, including its design, code, models, branding, and documentation, is owned by receptionists and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. You may not copy, modify, distribute, or create derivative works of any part of the Service except as expressly permitted.

9. Service availability and modifications

  • We strive to keep the Service available at all times but do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue features of the Service at any time. For material changes, we will provide reasonable advance notice.
  • Scheduled maintenance windows will be communicated in advance when possible.

10. Third-party services

The Service may integrate with or link to third-party services (for example, calendar providers, CRM tools, payment processors). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices or availability of third-party services.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECEPTIONISTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless receptionists, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) Your Content.

14. Termination

  • You may cancel your account at any time through the dashboard or by contacting us.
  • We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.
  • Upon termination, your right to use the Service ends immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted.
  • Sections that by their nature should survive termination (including liability, indemnification, and dispute resolution) will continue to apply.

15. Dispute resolution

Any dispute arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association. Class actions and jury trials are waived to the extent permitted by law. Nothing in this section prevents either party from seeking injunctive relief in court for urgent matters.

16. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Changes to these terms

We may revise these Terms at any time. When we make changes, we will update the "Last updated" date above. For material changes, we will notify you by email or through the Service. Continued use after changes take effect constitutes acceptance.

18. General

  • If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Our failure to enforce a right does not constitute a waiver of that right.
  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and receptionists regarding the Service.
  • You may not assign or transfer your rights under these Terms without our prior written consent.
